Terms of Use

These terms are an agreement between you and Henry Woodbury (“we”, “us”) covering your use of the Metronomo app for iOS and Android, and this website. By installing or using Metronomo, you accept them. If you do not accept them, do not use the app.
1. Your license
Metronomo is licensed to you, not sold. You get a personal, non-exclusive, non-transferable, revocable license to install and use Metronomo on devices you own or control, for any purpose, personal or professional. Playing along to Metronomo in a rehearsal, lesson, session, or paid performance is exactly what it is for, and we claim nothing over the music you make with it.
2. What you may not do
You may not sell, rent, sublicense, or redistribute Metronomo itself; reverse-engineer, decompile, or disassemble it except where that right cannot lawfully be excluded; remove or obscure any attribution notices; or use it in violation of applicable law or of the terms of the store you obtained it from — Google Play or the Apple App Store.
3. Your content
Grooves and the names and settings you give them are yours. They are stored on your device and we neither receive them nor claim any right in them. Keeping them is your responsibility: Metronomo has no cloud backup, so uninstalling the app — or clearing its storage, on Android — deletes your Grooves permanently.
4. Price and changes to the app
Metronomo is currently free with no advertising and no in-app purchases. We may change this in the future. Any change will apply to new purchases or new versions, not retroactively to software already installed on your device.
Metronomo is under active development. Features may be added, changed, or withdrawn, and some optional features are controlled by remote configuration, which means they may become available or unavailable without you installing an update. We are under no obligation to provide updates, support, or continued availability of the app.
5. No warranty
Metronomo is provided “as is” and “as available”, without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
Specifically, and importantly: Metronomo is a practice and performance aid, not a certified timing instrument. Its timing depends on your device’s hardware, operating system, audio configuration, background activity, and battery state, none of which are under our control. Do not rely on Metronomo where inaccurate timing could cause loss, injury, or liability, including synchronizing recordings or live production you cannot afford to have drift, or any safety-critical use. Verify anything that matters against an independent reference.
6. Limitation of liability
To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, profits, performances, or opportunities, arising out of or relating to your use of or inability to use Metronomo, even if advised of the possibility.
Where liability cannot be excluded, our total aggregate liability to you is limited to the greater of the amount you paid for Metronomo in the twelve months before the claim (which, while the app is free, is nothing) or USD $50.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. Where that is so, the exclusions and limitations above apply only to the extent permitted, and nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited. You may also have statutory consumer rights that these terms do not affect.
7. Privacy
Our handling of data is described in the Privacy Policy, which forms part of these terms.
8. Open-source components
Metronomo is built on open-source software, including React Native, the Expo SDK, and other components, each licensed by its own authors under the MIT license or a comparable permissive license. Those licenses govern those components and nothing in these terms limits the rights they grant you. A list of components and their licenses is available on request from support@nomotime.com.
9. Termination
This license ends automatically if you breach these terms, and you may end it at any time by uninstalling Metronomo. Sections 5, 6, 10, and 12 survive termination.
10. Governing law
These terms are governed by the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict-of-laws rules, and the courts located there have exclusive jurisdiction over any dispute. If you are a consumer resident elsewhere, this does not deprive you of the protection of mandatory consumer-protection law in your country of residence.
11. General
If any provision of these terms is held unenforceable, the rest remain in force. Our failure to enforce a provision is not a waiver of it. These terms, together with the Privacy Policy, are the entire agreement between us regarding Metronomo, and supersede any earlier understanding. We may update them; material changes will be posted here with a new version number and date, and continuing to use Metronomo after that constitutes acceptance. We may assign these terms in connection with a transfer of the app; you may not assign them.
12. If you obtained Metronomo from the App Store
Your license under section 1 is also subject to the Usage Rules in Apple’s Media Services Terms and Conditions.
These terms are between you and us. Apple is not a party to them, and is not responsible for Metronomo or its content. Apple has no obligation to provide maintenance or support for Metronomo. If Metronomo fails to conform to any warranty, you may notify Apple, and Apple will refund the purchase price, which, while the app is free, is nothing; to the maximum extent permitted by law, Apple has no other warranty obligation. Apple is not responsible for addressing any claim you or anyone else makes about Metronomo — product liability, a failure to meet a legal requirement, a claim under consumer-protection or privacy law, or a claim that Metronomo infringes intellectual property rights.
You confirm that you are not located in a country subject to a United States Government embargo or designated by it as terrorist-supporting, and that you are not on any United States Government list of prohibited or restricted parties. Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you.
